Terms of Service Agreement

This Terms of Service agreement establishes the legal framework and operating conditions for software development services provided through Array.im. By engaging our engineering services, accessing custom software deliverables, or initiating project contracts, clients agree to adhere to all terms, operational guidelines, and intellectual property conditions outlined herein.

These terms protect both parties by clarifying project scope boundaries, payment terms, code repository access, and confidentiality obligations. Standard web service communication guidelines defined by the W3C serve as baseline standards for digital delivery and web interface compliance.

Scope of Software Services

Engineering services encompass custom artificial intelligence development, full-stack web application engineering, model integration, and technical consulting. Specific deliverables, technical specifications, and project milestones are detailed in individual statement of work agreements executed prior to project initiation.

Intellectual Property Rights and Code Ownership

Intellectual property ownership guidelines ensure complete clarity regarding custom code assets and pre-existing engineering tools:

  • Custom Deliverables: Upon receipt of full project payment, all custom source code, application architectures, bespoke prompts, and proprietary documentation created specifically for the client become the sole property of the client.
  • Pre-Existing Components: Open-source libraries, third-party APIs, and foundational engineering utilities retain their respective licenses and property designations.
  • Client Datasets: Proprietary client data, corporate training materials, and domain information uploaded or provided during development remain the exclusive property of the client.

Payment Terms and Project Milestones

Development projects are structured around fixed milestones or hourly retainers as defined in individual project proposals. Milestone payments are tied to verified technical deliverables and repository updates.

Initial deposit payments are required prior to project kickoff to reserve engineering capacity. Subsequent milestone payments become due upon completion and review of designated sprint objectives as specified in client invoices.

Client Confidentiality and Data Protection

Strict confidentiality governs all project discussions, source code repositories, and proprietary business datasets. Non-disclosure agreements are available upon request to safeguard sensitive corporate information.

Warranties and Technical Support

All software deliverables undergo rigorous functional testing prior to client handoff. A thirty-day technical warranty period begins upon final production deployment, covering bug fixes and code corrections for features included in the original project scope.

Third-party API outages, external cloud service rate limits, and unapproved client codebase modifications made after final delivery are excluded from standard warranty coverage but may be serviced under separate maintenance retainers.

Limitation of Liability and Governing Terms

To the maximum extent permitted by applicable law, liability for operational delays, indirect damages, or third-party service interruptions is limited to the total amount paid by the client under the specific statement of work in question.

These terms remain effective throughout the duration of active projects and survive contract completion with respect to intellectual property rights, confidentiality, and liability protections.
